Vendor Participation Agreement
This section details the terms governing your participation in the Hub234 Global Brand Accelerator. It explains key clauses to ensure transparency and clarity for all participants.

Terms
This Vendor Participation Agreement (“Agreement”) is entered into between:
Hub234, a UK‑based business operating the Hub234 Global Brand Accelerator (“Hub234”, “we”, “us”, “our”)
AND
The Selected Vendor, being the individual or business entity accepted into the Hub234 Global Brand Accelerator (“Vendor”, “you”, “your”).
By accepting participation in the Hub234 Global Brand Accelerator, you agree to be bound by the terms set out below.
1. Programme Description
1.1 The Hub234 Global Brand Accelerator is a selective programme designed to support Nigerian fashion brands in preparing, launching, and selling to UK and European buyers.
1.2 The programme includes:
- A structured six‑week accelerator phase; and
- Follow‑on one‑to‑one support during the Vendor’s first live campaign and shipment.
1.3 Delivery is primarily via WhatsApp and may include voice notes, written guidance, templates, worksheets, frameworks, and one‑to‑one feedback.
1.4 Participation in the programme does not create any partnership, joint venture, employment, franchise, or agency relationship between Hub234 and the Vendor.
2. Selection & Participation
2.1 Participation is by selection only. Hub234 reserves the right to determine eligibility and cohort size.
2.2 The Vendor’s place in the programme is non‑transferable. Access may not be shared, sold, or delegated to any third party without Hub234’s prior written consent.
2.3 The Vendor agrees to personally participate in the programme unless otherwise agreed in writing.
3. Content Usage & Marketing Rights
3.1 The Vendor grants Hub234 a non‑exclusive, royalty‑free, worldwide licence to use the following for marketing, educational, and promotional purposes:
- Application responses
- Brand name, logo, and Instagram handle
- Quotes and testimonials
- Screenshots of messages, feedback, or results
- Non‑confidential campaign outcomes and performance highlights
3.2 Such content may be used on:
- Hub234’s Instagram and other social media platforms
- Hub234’s website and landing pages
- Email communications
- Case studies and future programme promotion
3.3 Hub234 agrees not to knowingly misrepresent the Vendor or publish sensitive financial information without the Vendor’s consent.
4. Confidentiality & Non‑Sharing Obligations
4.1 All programme materials are confidential and proprietary to Hub234. This includes, but is not limited to:
- Voice notes
- Worksheets and templates
- Pricing models
- Campaign frameworks
- Strategic guidance, systems, and processes
4.2 The Vendor must not share, forward, copy, reproduce, distribute, teach, or resell any programme materials, whether publicly or privately.
4.3 These confidentiality obligations apply during and after the programme.
4.4 Any sharing of programme materials requires prior written consent from Hub234.
5. Intellectual Property
5.1 Hub234 retains full ownership of all programme materials, structures, systems, methodologies, and frameworks.
5.2 The Vendor retains ownership of their brand, products, designs, and original content created independently of the programme.
6. Media Consent
6.1 The Vendor consents to Hub234 using photos, videos, screenshots, and behind‑the‑scenes content voluntarily shared by the Vendor in connection with the programme.
6.2 Hub234 agrees not to use such content in a misleading, defamatory, or inappropriate manner.
7. Behaviour & Professional Conduct
7.1 The Vendor agrees to communicate respectfully and act professionally at all times.
7.2 The Vendor must not engage in harassment, abuse, disruptive behaviour, or conduct that damages Hub234’s reputation.
7.3 The Vendor must not make false or misleading public claims about Hub234 or represent the programme as guaranteeing results.
8. Programme Updates & Modifications
8.1 Hub234 may refine, update, or improve programme materials, structure, or delivery methods from time to time.
8.2 Any such updates will not materially reduce the overall value of the programme.
9. No Guarantees Disclaimer
9.1 Hub234 provides guidance, structure, and support only.
9.2 Hub234 does not guarantee sales, revenue, profit, or specific business outcomes.
9.3 Results depend on multiple factors, including execution, product quality, pricing, and market conditions.
10. Removal, Suspension & Termination
10.1 Hub234 reserves the right to suspend or remove a Vendor from the programme for:
- Breach of confidentiality
- Sharing programme materials
- Prolonged inactivity or non‑responsiveness
- Conduct damaging to Hub234 or other participants
10.2 Removal for breach does not entitle the Vendor to continued access, refunds, or reinstatement.
11. Public Announcements
11.1 Hub234 may publicly announce the Vendor’s selection, participation, and graduation.
11.2 The Vendor agrees not to publicly announce participation before Hub234’s official announcement.
12. Non‑Disparagement
12.1 The Vendor agrees not to make false, harmful, or misleading public statements about Hub234 during or after participation.
12.2 This clause does not prevent the Vendor from providing honest private feedback directly to Hub234.
13. Limitation of Liability
13.1 To the fullest extent permitted by law, Hub234 shall not be liable for business losses, missed opportunities, advertising platform decisions, or third‑party service failures (including couriers and payment providers).
14. Governing Law & Jurisdiction
14.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
14.2 The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from this Agreement.
15. Acceptance
15.1 This Agreement becomes effective upon the Vendor’s digital acceptance.
15.2 Digital acceptance shall be treated as legally binding.
16. Commitment Clause
16.1 The Vendor agrees to commit appropriate time, focus, and effort to the programme.
16.2 The Vendor agrees to:
- Engage actively each week
- Respond to Hub234 communications within a reasonable timeframe
- Complete assigned tasks honestly and in good faith
16.3 The Vendor acknowledges that the programme relies on active participation and that lack of commitment may result in removal.
