Hub234 Vendor Agreement

1. Introduction
This Agreement governs your use of Hub234’s warehousing, fulfilment, and marketplace services. By signing up as a vendor, you agree to these terms.

2. fulfilments Options
Vendors may choose between two fulfilment models:

• UK fulfilments: Products are stored and shipped from Hub234’s UK warehouse.
• Nigeria fulfilments (Pre-Order Model): Products remain in Nigeria and are shipped to Hub234’s Nigerian warehouse for collation and international dispatch on scheduled shipping dates.

3. Vendor Responsibilities

• Package products per Hub234’s Packaging Instructions
• Provide accurate product listings and inventory updates
• Comply with all applicable laws, including customs and export regulations
• Carry insurance for stored goods
• Include “Powered by Hub234” in promotional content
• Clearly indicate whether a product is fulfilled from the UK or Nigeria by setting the appropriate Shipping Class when adding products. If in doubt, please seek clarification by contacting Hub234.
• Vendors must set and honour their return policies, which will be displayed to customers. By default, customers cannot cancel Nigeria-based orders once placed.

4. Nigeria Fulfilment Terms

• Vendors are responsible for ensuring timely delivery of products to Hub234’s Nigerian warehouse
• Hub234 will collate and ship orders on scheduled dates
• Hub234 is not liable for delays, damages, or losses caused by vendor-side errors or third-party logistics in Nigeria
• Hub234 reserves the right to increase or decrease shipping fees for Nigeria-based fulfilment at its discretion

5. Fulfilments and Storage

• Hub234 will store, pick, pack, and ship products as per your instructions
• Free storage for 30 days; thereafter, fees apply as per Charges and Fees
• Hub234 may dispose of unclaimed goods after notice if fees are unpaid

6. Payments

• fulfilments and processing fees are deducted from sales
• Payouts are made within 48 hours of request, subject to minimum withdrawal thresholds
• Early payouts may incur a 72-hour processing delay

7. Marketing License
You grant Hub234 a royalty-free license to use your brand, images, and product descriptions for marketing. You may request removal of specific content with reasonable notice.

8. Liability and Indemnity

• Hub234 is only liable for loss or damage due to gross negligence
• You indemnify Hub234 against claims from customers, regulators, or third parties arising from your products, conduct, or fulfilment errors
• Hub234 is not responsible for customs delays, international shipping issues, or customer dissatisfaction related to Nigeria-based fulfilment

9. Shipping Insurance Disclaimer
Hub234 does not provide automatic shipping insurance. Vendors may request insurance for specific shipments at additional cost. Hub234 is not liable for uninsured losses during transit.

10. Force Majeure
Hub234 shall not be held liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, government actions, or disruptions in transportation or communication systems.

11. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of this Agreement. This includes, but is not limited to, pricing structures, customer data, operational procedures, and marketing strategies. Neither party shall disclose such information to any third party without prior written consent, except as required by law. This obligation shall survive the termination of this Agreement.

12. Data Protection Compliance
Both parties agree to comply with all applicable data protection laws, including but not limited to the Nigeria Data Protection Act (NDPA) and the UK GDPR, where applicable.

• Hub234 shall ensure that any personal data of customers shared with the Vendor is limited to what is necessary for order fulfilment and is handled securely.
• The Vendor agrees to process customer data solely for the purpose of fulfilling orders and must not use, retain, or share such data for any other purpose.
• Both parties shall implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or misuse.
• In the event of a data breach involving personal data, the affected party must notify the other party promptly and cooperate in any required investigations or notifications.

13. Termination

• Either party may terminate with 30 days’ notice
• Immediate termination applies for material breach
• Upon termination, you must arrange for product removal or risk disposal

14. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.

15. Jurisdiction for International Vendors
Regardless of your location, you agree that any disputes arising from your use of Hub234 shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

16. Entire Agreement
This Agreement supersedes all prior understandings. Amendments must be in writing and signed by both parties.
